Terms of Service
1. What Catalyst is — and what it isn't
Catalyst is a governance middleware API. It normalises, deduplicates, risk-scores, and audit-logs work flowing through your automation stack. By using Catalyst you agree to these terms.
Important: Catalyst is not a compliance certification service, legal advisor, or substitute for professional regulatory advice. AI-generated summaries are advisory. Audit ledger entries document what happened in your Catalyst configuration — they do not constitute legal evidence without appropriate professional review.
Catalyst is designed for organisations that want structured governance over their automated workflows. It is not a consumer product and is not intended for personal, domestic, or non-commercial use.
2. API access and API keys
When you register, we generate an API key for your organisation. This key authenticates all requests and identifies your tenant account.
- Your API key is yours. Keep it secure. Do not share it publicly or commit it to version control.
- You are responsible for all activity that occurs under your API key, including usage by your team and your automation tools (Zapier, n8n, Make, etc.).
- If you believe your key has been compromised, contact admin@stratogenic.ai immediately. We can issue a replacement.
- One API key per organisation. Additional keys are available on Enterprise plans.
3. Acceptable use
You may use Catalyst to govern work flowing through your organisation's automation systems. You may not use Catalyst to:
- Process unlawful content, including content that infringes intellectual property rights or constitutes harassment, abuse, or discrimination
- Deliberately circumvent rate limits or quotas by distributing requests across multiple accounts
- Resell or white-label API access to third parties without a written reseller agreement with Stratogenic AI Ltd
- Attempt to access other tenants' data or test the isolation boundaries of the platform
- Use the API in a way that degrades service availability for other tenants
- Automate the creation of tenant accounts at scale
We reserve the right to suspend accounts that violate these terms without notice where we believe immediate action is necessary to protect the platform or other users.
4. Plans, quotas, and billing
Free tier
The Taster plan is free and fully functional within its limits. It is not time-limited, trial software, or a degraded version of a paid product. You can use it for as long as it serves your needs.
Paid plans
Paid plans are billed monthly via Stripe. By subscribing you authorise recurring monthly charges to your payment method. All prices are in GBP and exclude VAT where applicable.
- Subscriptions renew automatically unless cancelled before the next billing date
- Cancellation takes effect at the end of the current billing period — you retain access until then
- Refunds are not issued for partial periods, except where required by applicable law
- If a payment fails, we will retry and notify you by email. Continued failure may result in account downgrade to the free tier
Quotas and bolt-ons
Each plan includes a monthly ingest allowance. When your allowance is reached, the API returns 402 responses for ingest endpoints until your allowance resets or you purchase additional capacity via a bolt-on.
Bolt-ons are one-time purchases that add capacity to your current billing period. They do not roll over to the next month.
Price changes
We will give at least 30 days' notice of any price increases. Price changes apply from your next renewal date after the notice period.
5. Your data
You retain ownership of all data you ingest into Catalyst. We process it on your behalf as a data processor.
- We do not use your work data to train AI models
- We do not sell or share your data with third parties beyond the service providers listed in our Privacy Policy
- You can export your full audit ledger at any time via
GET /ledgerin JSON or CSV format - You can request deletion of all personal data from your account via
POST /gdpr/delete - On account termination, your data is retained for 30 days (to allow recovery in case of accidental deletion) then permanently deleted, subject to legal retention obligations for financial records
6. AI-generated content
Catalyst's Enterprise Pro plan includes AI-generated narrative summaries of your governance data, produced via the OpenAI API.
AI summaries are advisory only. They are designed to surface patterns in your structured data — not to provide legal, compliance, financial, or regulatory advice. Do not rely on AI narratives as a substitute for professional review.
Catalyst's AI layer operates under strict guardrails: it cannot evaluate individuals, make disciplinary recommendations, or invent data that isn't present in your governance snapshot. Even so, AI output can be incorrect, incomplete, or misleading — treat it as a starting point, not a conclusion.
By using AI features you acknowledge that your governance data snapshot is sent to OpenAI for processing under their API terms. We do not send personally identifiable information to OpenAI beyond what is present in the normalised governance data you have ingested.
7. Availability
We aim to maintain high availability but do not guarantee a specific uptime SLA on free or Foundation plans. Enterprise and Enterprise Pro plans are subject to a separate service agreement.
We perform maintenance when necessary and will give reasonable notice for planned downtime where possible. Unplanned outages will be communicated via admin@stratogenic.ai for enterprise customers.
We are not liable for downtime caused by third-party infrastructure (Railway, Redis, Stripe, OpenAI) or events outside our reasonable control.
8. Termination
You may close your account at any time by contacting admin@stratogenic.ai. We will confirm closure within 5 working days.
We may suspend or terminate your account if you breach these terms, fail to pay, or engage in activity that poses a risk to the platform or other users. We will give notice where possible, except where immediate action is necessary.
On termination: your data is retained for 30 days, during which you may export it. After 30 days it is permanently deleted, subject to legal retention obligations.
9. Liability
To the fullest extent permitted by law:
- Our total liability to you arising from or in connection with your use of Catalyst is limited to the greater of the fees you paid in the 3 months prior to the event giving rise to the claim, or £50
- We are not liable for indirect, consequential, or incidental losses, including loss of business, revenue, data, or opportunity
- We are not liable for decisions made in reliance on AI-generated summaries or governance recommendations
- We are not liable for the actions of third-party automation platforms (Zapier, n8n, Make, etc.) that connect to your Catalyst account
Nothing in these terms excludes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.
10. Changes to these terms
We may update these terms from time to time. We will notify you of material changes by email (to the address associated with your account) at least 14 days before they take effect. Continued use of Catalyst after that date constitutes acceptance of the updated terms.
The current version of these terms is always available at catalyst.stratogenic.ai/terms.
11. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are based in the EU, you may also access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
